PLATINUM POWER SOLUTIONS LTD. Terms and Conditions
By accepting this estimate, invoice, receipt, or by authorizing commencement of work, you (the
“Customer”) acknowledge and agree to be legally bound by the following Terms and Conditions. If you do
not agree to these Terms and Conditions, please notify Platinum Power Solutions Ltd. (“Platinum”) prior to
any work being performed.
- Payment Terms
Payment is due upon completion of the work unless otherwise agreed to in writing. Invoices that remain
unpaid 30 days after the date of issue will accrue a 2.5% monthly late fee on the outstanding balance.
Accounts unpaid after 60 days may result in suspension of services and referral to collections, following
written notice to the Customer.
Returned or failed payments, including NSF cheques or declined transactions, are subject to a $50
administrative fee plus any applicable bank charges. Any disputes regarding an invoice must be submitted
in writing within 10 days of receipt; otherwise, the invoice will be deemed accepted.
In the event of non-payment, the Customer agrees to be responsible for all reasonable collection costs, legal
fees, and administrative expenses incurred by Platinum in recovering the outstanding balance, subject to
applicable law. - Estimates
All estimates are valid for 30 days from the issue date. Prices may be adjusted due to changes in material
costs, scope adjustments, or unforeseen conditions. Platinum reserves the right to revise estimates in
response to significant economic events (such as pandemics, tariffs, trade wars, or supply chain
disruptions). Any changes to pricing or scope will be communicated in writing and require customer
approval before work continues. - Deposit Policy
A standard deposit of 50% is required for all projects exceeding $1,000 in total value unless otherwise
agreed in writing. The remaining payment terms and schedule will be detailed in the estimate or contract
prior to work commencement. All deposits are non-refundable. In the event of project delays, cancellations,
or scope changes, Platinum may, in its sole and absolute discretion, apply the deposit as a credit toward
future work for up to 1 year from the payment date, after which any unused balance will be forfeited. For
non-quoted or time-and-material jobs, Platinum may issue invoices at its discretion, including partial or
progress billing to reflect work completed or costs incurred. - Workmanship Warranty
Platinum provides a 5 year workmanship warranty on all installations and repairs, commencing on the date
the work is completed (the “Workmanship Warranty”). The Workmanship Warranty applies solely to
workmanship performed directly by Platinum and does not extend to”:
(a) materials, parts, or replacement devices (which are subject only to the manufacturer’s warranties,
if any);
(b) ordinary wear and tear;
(c) any work, modification, alteration, repair, or interference performed by any party other than
Platinum;
(d) any system or component modified after Platinum’s original installation or servicing;
(e) pre-existing electrical issues, unless subsequently repaired by Platinum; or
(f) defects, failures, or damage arising from:
i. acts of nature, weather events, environmental conditions, or other external forces;
ii. vandalism, accident, negligence, misuse, improper operation, or lack of maintenance by
the Customer or any third party;
iii. pests, rodents, insects, or other infestations;
iv. flooding, burst pipes, water intrusion, humidity or moisture conditions;
v. lightning strikes, power surges, utility failures, or fluctuations in electrical supply; or
vi. any other circumstances beyond the reasonable control of Platinum
Platinum’s obligation under the Workmanship Warranty is limited to, at its option, repairing or re-performing
the defective work. No other remedy, including reimbursement of costs, consequential damages, or
replacement of materials, is provided under this warranty.
- Extended Warranty
Platinum Home Protection Members are eligible to receive up to an additional 5 years of extended
workmanship warranty, for a total of 10 years of coverage (the “Extended Warranty”), provided their
membership remains active and in good standing for the full duration of the Extended Warranty period,
without interruption. The Extended Warranty applies to labour only and covers materials supplied and
installed by Platinum It does not cover customer-supplied equipment, fixtures, or materials. For greater
certainty, the Extended Warranty does not apply to manufacturer warranties. - Site Accessibility, Safety and Conditions
All workspaces must be fully accessible prior to the arrival of our technicians. If access to the property or
required work area is unavailable upon arrival, including but not limited to locked premises, occupant
absence, or unsafe site conditions, a $250 no-access fee will be charged to cover technician time, travel,
and scheduling impacts. Failure to provide access may result in rescheduling delays and additional costs.
Platinum reserves the right to refuse or suspend work if unsafe or non-compliant site conditions are present,
including but not limited to, hazardous materials, pests, unsanitary conditions, or safety risks. Any time lost
or costs incurred due to unsafe conditions may result in additional charges or rescheduling. Customers will
be notified in writing of any such conditions and required actions - Limitation of Liability
Platinum shall not be liable for any loss, damage, or injury suffered by the Customer arising from: (a) any
act or omission of Platinum, except where such act or omission results from Platinum’s own gross
negligence or willful misconduct, (b) pre-existing electrical issues or deficiencies; (c) damages caused by
improper product use, tampering, or unauthorized modifications; (d) loss of income or incidental damages
resulting from work delays, power interruptions, or necessary shut-offs; (e) hidden or unforeseen site
conditions not visible during the initial inspection; or (f) work or interference by other trades or third parties
after completion.
NOTWITHSTANDING ANY OTHER PROVISION CONTAINED IN THESE TERMS AND CONDITIONS, IN
NO EVENT SHALL PLATINUM, ITS SUBSIDIARIES AND AFFILIATES, AND THEIR RESPECTIVE
DIRECTORS, OFFICERS, SHAREHOLDERS, EMPLOYEES, CONTRACTORS, SUBCONTRACTORS
AND AGENTS, BE LIABLE TO THE CUSTOMER FOR ANY INDIRECT, SPECIAL, CONSEQUENTIAL,
INCIDENTAL OR AGGRAVATED DAMAGES OF ANY KIND WHATSOEVER, HOWSOEVER CAUSED
AND REGARDLESS OF THE FORM OR CAUSE OF ACTION (INCLUDING IN TORT, CONTRACT,
INDEMNIFICATION, FUNDAMENTAL BREACH, GROSS NEGLIGENCE OR OTHERWISE), EVEN IF
SUCH DAMAGES ARE FORESEEABLE OR IF THE SERVICE PROVIDER KNEW OR SHOULD HAVE
KNOWN OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL THE TOTAL, CUMULATIVE AND AGGREGATE LIABILITY IN ANY INDIVIDUAL
INSTANCE AND CUMULATIVELY IN ALL INSTANCES OF PLATINUM, ITS SUBSIDIARIES AND
AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, SHAREHOLDERS, EMPLOYEES,
CONTRACTORS, SUBCONTRACTORS AND AGENTS, TO THE CUSTOMER, FOR ALL LOSSES,
COSTS AND DAMAGES ARISING UNDER OR IN CONNECTION WITH THIS AGREEMENT EXCEED
THE LESSER OF: (A) ACTUAL DIRECT DAMAGES; AND (B) THE TOTAL AMOUNT OF FEES PAID BY
THE CUSTOMER TO PLATINUM DURING THE PRECEDING 12 MONTHS’ PERIOD.
The Customer (a) waives the right to bring any claim against Platinum under this Agreement more than one (1)
year after the date on which the claim arose; and (b) waives any right to: (i) a trial by jury; and (ii) commence
or participate in any class action against Platinum. The parties agree that these limitations are fundamental
conditions of contract, are reasonable under the circumstances, and that each party would not have entered
into this agreement but for the inclusion of these limitations on its liability.
- Ownership of Materials
All materials, products, and equipment installed or provided by Platinum remain the property of Platinum
until full payment is received. The company reserves the right, subject to applicable law, to remove or
disable materials in the event of non-payment, following written notice to the Customer. Title and risk of
loss transfer to the customer upon receipt of full payment. - Drywall & Finishing Disclaimer
If wall access is required, Platinum will advise the Customer of any necessary drywall cuts or related
modifications, and such work will proceed only with the Customer’s prior approval. Platinum shall not be
responsible for any drywall repair, patching, painting, or finishing. All restoration work following completion
of the electrical services shall be coordinated and paid for by the Customer. - Unforeseen Conditions
If unforeseen or concealed conditions are encountered during the work, including but not limited to hidden
or improperly installed wiring, code violations, structural barriers, asbestos or other hazardous materials, or
conditions that were not reasonably discoverable during the initial assessment, additional time, materials,
and costs may be required to complete the work safely and in compliance with applicable codes.
Platinum will promptly notify the Customer of any such conditions and will provide a written description of the
required changes to the scope of work, together with any associated pricing adjustments. No additional work
will be undertaken without the Customer’s approval. Delays resulting from the discovery of unforeseen
conditions may impact scheduling and completion timelines, for which Platinum shall not be liable. - Equipment & Material Storage
If materials or equipment are required to be stored on-site, the Customer agrees to provide a secure and
clearly designated area suitable for this purpose. Once materials have been delivered to the job site, the risk
of loss, theft, or damage transfers to the Customer. Platinum shall not be responsible for any such loss or
damage except to the extent it results directly from Platinum’s negligence. - Discounts
Only one discount, promotion, or coupon may be applied per invoice. Discounts cannot be combined and
must be presented at the time of estimate or invoice approval. Platinum reserves the right to modify or
withdraw discounts at any time, subject to applicable law. - Marketing & Media Consent
By agreeing to this estimate, invoice, or receipt, you acknowledge and consent that photos, videos, or
descriptions of the work performed may be used by Platinum for marketing, advertising, or social media
purposes on any platform. No identifiable personal information will be disclosed without explicit written
consent, and all media use will comply with applicable privacy laws. - Intellectual Property
All designs, layouts, schematics, drawings, plans, technical documents, specifications, and custom
configurations prepared by Platinum (collectively, the “Platinum Materials”) remain the sole and exclusive
intellectual property of Platinum, whether presented in digital, physical, or conceptual form. The Platinum
Materials are provided to the Customer solely for the purpose of evaluating or completing the contracted
work and may not be reproduced, distributed, disclosed, modified, or used for any other project or purpose
without Platinum’s prior written authorization.
The Customer acknowledges that unauthorized use, sharing, or reproduction of the Platinum Materials may
cause harm to Platinum and may result in legal action, including claims for damages, injunctive relief, and
recovery of legal costs. - Code Compliance and Permits
All work will meet or exceed the requirements of the Canadian Electrical Code and all applicable Manitoba
regulations. Platinum will obtain all required electrical permits unless otherwise specified in writing. The
customer is responsible for obtaining any necessary permissions from landlords, property managers, or
municipalities, where applicable. - Pre-Existing Damage / Hidden Conditions
Platinum is not responsible for existing defects or concealed conditions, including hidden wiring, structural
deficiencies, or prior non-code-compliant installations. If such conditions are discovered during work, the
Customer will be notified in writing immediately, and a revised quote may be issued to reflect any additional
labour or materials required. - Third-Party Work or Interference
Platinum is not responsible for damage, delays, or costs resulting from work performed by other contractors,
trades, or third parties on-site after or during our scope of work. Any modifications made by other third
parties may void coverage provided by Platinum under the Workmanship Warranty. - Cancellation
Cancellations must be made at least 24 hours prior to the scheduled appointment. Late cancellations or
no-shows will result in a minimum service fee of $250 to cover technician time, travel, and lost scheduling
capacity. Platinum reserves the right to waive or adjust fees at its discretion in exceptional circumstances.
- Power Interruptions
Temporary power interruptions may be required to perform work safely. Platinum is not liable for data loss,
equipment failure, or downtime resulting from these necessary interruptions, except where such loss is
caused by the gross negligence of Platinum. - Client Cooperation
The client agrees to cooperate with Platinum by providing accurate information, timely communication, and
prompt decision-making as needed to avoid unnecessary delays. Failure to cooperate may result in project
delays or additional costs. - Dispute Resolution
Both Platinum and the Customer agree to address and resolve any disputes arising from these Terms and
Conditions in a private, professional, and cooperative manner. The Customer agrees not to post, publish,
or share any defamatory, misleading, or negative statements regarding Platinum, whether online, in social
media, reviews, or any other public forum, until Platinum has been provided a reasonable opportunity to
investigate and resolve the matter.
Such public statements made prematurely may be considered a breach of these Terms and Conditions and
may give rise to legal remedies, including claims for damages, injunctive relief, or other appropriate relief.
The parties agree that all disputes will first be addressed through the following procedures: - Notification: The Customer must notify Platinum in writing of the nature of the dispute within 10
days of the event giving rise to the dispute. - Good Faith Negotiation: Both parties will engage in good faith discussions to resolve the issue
within 15 business days of receipt of the Customer’s notification by Platinum. - Escalation: If the dispute cannot be resolved through negotiation, the parties may agree to
mediation, arbitration, or other alternative dispute resolution methods before pursuing litigation.
Nothing in this clause prevents either party from seeking immediate injunctive or other equitable relief where
necessary to protect its rights or property. - After-Hours and Emergency Work
Work performed outside regular business hours (Monday–Friday, 8:00 AM–5:00 PM) or during holidays
may be subject to after-hours or emergency service rates. These rates will be communicated in writing and
require Customer approval prior to dispatch. - EV Charger and Specialty Equipment Disclaimer
The customer is responsible for verifying compatibility and warranty coverage with their vehicle or product
manufacturer prior to installation. Platinum is not responsible for any manufacturer warranty claims or
product issues unrelated to electrical installation. Customers must notify Platinum of any special
requirements or limitations prior to work commencement. - Disposal and Material Rights
All removed wiring becomes the property of Platinum and will be disposed of or recycled in accordance
with environmental regulations. Fixtures, devices, and other reusable components will remain the property
of the Customer unless otherwise specified in writing prior to removal.
- Mailing List Consent
By engaging Platinum’s services, the Customer consents to receive communications from Platinum,
including updates, promotions, and other information we believe may be of interest. The Customer may
unsubscribe at any time by following the instructions included in each communication. Platinum will handle
all Customer information in accordance with all applicable privacy and anti-spam laws. - Acceptance of Terms and Entire Agreement
By engaging Platinum’s services, the Customer acknowledges and agrees to all the above Terms and
Conditions in full. This acceptance is binding whether provided verbally, electronically, or in writing. These
Terms and Conditions constitute the entire agreement between the customer and Platinum and supersede
any prior verbal or written agreements related to the scope of work. No amendment or waiver of these
Terms and Conditions is valid unless made in writing and signed by both parties. - Force Majeure
Platinum shall not be liable for any failure or delay in performance due to circumstances beyond its
reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes,
government actions, or supply chain disruptions. In such events, Platinum will notify the customer as soon
as reasonably practicable and both parties will cooperate to mitigate any impact. - Company Discretion
All decisions, interpretations, exceptions, and enforcement of these Terms and Conditions are made solely
at the discretion of Platinum, subject to applicable law. Platinum reserves the right to modify, waive, or
enforce any policy or condition as deemed appropriate on a case-by-case basis, provided such actions do
not contravene statutory rights or obligations.

work and may not be reproduced, distributed, disclosed, modified, or used for any other project or purpose
without Platinum’s prior written authorization.
The Customer acknowledges that unauthorized use, sharing, or reproduction of the Platinum Materials may
cause harm to Platinum and may result in legal action, including claims for damages, injunctive relief, and
recovery of legal costs. - Code Compliance and Permits
All work will meet or exceed the requirements of the Canadian Electrical Code and all applicable Manitoba
regulations. Platinum will obtain all required electrical permits unless otherwise specified in writing. The
customer is responsible for obtaining any necessary permissions from landlords, property managers, or
municipalities, where applicable. - Pre-Existing Damage / Hidden Conditions
Platinum is not responsible for existing defects or concealed conditions, including hidden wiring, structural
deficiencies, or prior non-code-compliant installations. If such conditions are discovered during work, the
Customer will be notified in writing immediately, and a revised quote may be issued to reflect any additional
labour or materials required. - Third-Party Work or Interference
Platinum is not responsible for damage, delays, or costs resulting from work performed by other contractors,
trades, or third parties on-site after or during our scope of work. Any modifications made by other third
parties may void coverage provided by Platinum under the Workmanship Warranty. - Cancellation
Cancellations must be made at least 24 hours prior to the scheduled appointment. Late cancellations or
no-shows will result in a minimum service fee of $250 to cover technician time, travel, and lost scheduling
capacity. Platinum reserves the right to waive or adjust fees at its discretion in exceptional circumstances.
- Power Interruptions
Temporary power interruptions may be required to perform work safely. Platinum is not liable for data loss,
equipment failure, or downtime resulting from these necessary interruptions, except where such loss is
caused by the gross negligence of Platinum. - Client Cooperation
The client agrees to cooperate with Platinum by providing accurate information, timely communication, and
prompt decision-making as needed to avoid unnecessary delays. Failure to cooperate may result in project
delays or additional costs. - Dispute Resolution
Both Platinum and the Customer agree to address and resolve any disputes arising from these Terms and
Conditions in a private, professional, and cooperative manner. The Customer agrees not to post, publish,
or share any defamatory, misleading, or negative statements regarding Platinum, whether online, in social
media, reviews, or any other public forum, until Platinum has been provided a reasonable opportunity to
investigate and resolve the matter.
Such public statements made prematurely may be considered a breach of these Terms and Conditions and
may give rise to legal remedies, including claims for damages, injunctive relief, or other appropriate relief.
The parties agree that all disputes will first be addressed through the following procedures: - Notification: The Customer must notify Platinum in writing of the nature of the dispute within 10
days of the event giving rise to the dispute. - Good Faith Negotiation: Both parties will engage in good faith discussions to resolve the issue
within 15 business days of receipt of the Customer’s notification by Platinum. - Escalation: If the dispute cannot be resolved through negotiation, the parties may agree to
mediation, arbitration, or other alternative dispute resolution methods before pursuing litigation.
Nothing in this clause prevents either party from seeking immediate injunctive or other equitable relief where
necessary to protect its rights or property. - After-Hours and Emergency Work
Work performed outside regular business hours (Monday–Friday, 8:00 AM–5:00 PM) or during holidays
may be subject to after-hours or emergency service rates. These rates will be communicated in writing and
require Customer approval prior to dispatch. - EV Charger and Specialty Equipment Disclaimer
The customer is responsible for verifying compatibility and warranty coverage with their vehicle or product
manufacturer prior to installation. Platinum is not responsible for any manufacturer warranty claims or
product issues unrelated to electrical installation. Customers must notify Platinum of any special
requirements or limitations prior to work commencement. - Disposal and Material Rights
All removed wiring becomes the property of Platinum and will be disposed of or recycled in accordance
with environmental regulations. Fixtures, devices, and other reusable components will remain the property
of the Customer unless otherwise specified in writing prior to removal.
- Mailing List Consent
By engaging Platinum’s services, the Customer consents to receive communications from Platinum,
including updates, promotions, and other information we believe may be of interest. The Customer may
unsubscribe at any time by following the instructions included in each communication. Platinum will handle
all Customer information in accordance with all applicable privacy and anti-spam laws. - Acceptance of Terms and Entire Agreement
By engaging Platinum’s services, the Customer acknowledges and agrees to all the above Terms and
Conditions in full. This acceptance is binding whether provided verbally, electronically, or in writing. These
Terms and Conditions constitute the entire agreement between the customer and Platinum and supersede
any prior verbal or written agreements related to the scope of work. No amendment or waiver of these
Terms and Conditions is valid unless made in writing and signed by both parties. - Force Majeure
Platinum shall not be liable for any failure or delay in performance due to circumstances beyond its
reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes,
government actions, or supply chain disruptions. In such events, Platinum will notify the customer as soon
as reasonably practicable and both parties will cooperate to mitigate any impact. - Company Discretion
All decisions, interpretations, exceptions, and enforcement of these Terms and Conditions are made solely
at the discretion of Platinum, subject to applicable law. Platinum reserves the right to modify, waive, or
enforce any policy or condition as deemed appropriate on a case-by-case basis, provided such actions do
not contravene statutory rights or obligations.
